Gift with Purchase (GWP) Promotion Terms

These Gift with Purchase Promotion Terms (the “GWP Terms”) form an integral part of our Terms of Service and apply to all promotional Gift with Purchase (“GWP”) offers, items, and tiers across all 11 product categories available on this website. Capitalized terms used herein have the same meaning as in our Terms of Service, Shipping Policy, International Shipping Info, Return & Refund Policy, and Delivery Timeframes.

1. Core GWP Return & Refund Rules (NonNegotiable)

The following rules apply universally to all GWP items across all categories and tiers, with no exceptions. They control all interactions between returns, refunds, and GWP eligibility.

1.1 No Retention of GWP Items Upon Refund

GWP items are conditional promotional gifts, the entitlement to which is contingent upon the customer maintaining the full Final Paid Amount of the associated order. If any return, refund, credit, price adjustment, or chargeback reduces the Final Paid Amount below the threshold of the qualifying GWP tier, GWP eligibility is automatically and immediately void.

You may not keep the GWP item and receive a refund of the main order that reduces your Final Paid Amount below the qualifying threshold. Retention of a GWP item while receiving a refund that voids eligibility is not permitted under any circumstances.

1.2 No Separate Returns, Exchanges, or Credits

GWP items cannot be returned, refunded, exchanged, or credited separately from the main order. All GWPrelated returns, refunds, and adjustments must be processed together with a corresponding return of merchandise from the original order.

We do not accept returns of GWP items alone. We do not offer partial credits, exchanges, refunds, or price adjustments for GWP items independently. GWP items are not available for separate purchase, and no payment or credit will be accepted to retain a GWP item after eligibility has been voided.

1.3 Full MSRP Deduction – No Depreciation, No Discounts

If your GWP eligibility is voided and you elect to keep the GWP item(s), the full original Manufacturer’s Suggested Retail Price (MSRP) of the applicable tier and category will be deducted from your refund amount in full.

No depreciation, proration, wearandtear adjustment, damage discount, residual value credit, or replacement cost deduction will be applied for any reason, including but not limited to:

· the GWP item has been opened, unsealed, or used;

· the GWP item is damaged, scratched, or shows signs of wear;

· the GWP item is missing components, accessories, tags, or original packaging;

· the GWP item has been previously replaced, reissued, or exchanged by us or the manufacturer;

· the GWP item has been activated, registered, or personalized;

· the packaging has been opened or altered.

Deductions are calculated based on the original MSRP at the time the promotion was offered, not on current market value, secondary market value, collector value, or any other valuation.

1.4 Partial Refund Rules

When only part of an order is returned:

· If the remaining Final Paid Amount still meets or exceeds the original GWP tier threshold, you may keep the corresponding GWP item. Only the value of the returned main merchandise will be refunded. The GWP item is not affected and no GWP value will be deducted.

· If the remaining Final Paid Amount falls below the original GWP tier threshold, you must return all GWP items in full or have the full MSRP of the applicable tier deducted from your refund amount. Partial tier retention, tier downgrades, and prorated GWP credits are not permitted under any circumstances.

Partial refunds apply only to paid merchandise. GWP items have no cash value and are not included in partial refund calculations.

2. General Eligibility & Fulfillment

2.1 Nature of GWP

GWP items are conditional, complimentary promotional goods provided exclusively to customers who meet the minimum purchase thresholds set forth below. GWP items have no independent cash redemption value and may not be purchased separately, exchanged for cash, credited to any other purchase, or applied to any other order.

No GWP offer constitutes a binding obligation until all eligibility conditions set forth in these GWP Terms are fully satisfied. We reserve the right to modify, suspend, or terminate any GWP promotion, tier, or item at any time without prior notice, in accordance with applicable law.

2.2 Definitions

· Final Paid Amount: The total amount actually paid by the customer for a single individual order, including merchandise subtotal, shipping charges, and all applicable taxes, after all discounts, coupons, gift cards, store credits, promotional codes, refunds, and any other adjustments have been applied.

· MSRP: Manufacturer’s Suggested Retail Price, the official retail price published by the manufacturer of the GWP item. MSRP is the sole and exclusive valuation reference for all GWP items for all purposes under these GWP Terms, including return deductions, customs declaration, and liability calculations. MSRP does not reflect secondary market values, collector premiums, resale value, or market fluctuations of any kind.

· Tier: A specific GWP reward level corresponding to a defined minimum Final Paid Amount threshold. Each tier corresponds to a specific GWP item or set of items of a defined MSRP value.

· Eligibility: The status of having met all conditions required to receive a GWP item.

· Promotional Period: The period during which a GWP promotion is active, as displayed on the promotional page.

2.3 Threshold Calculation

GWP eligibility is determined exclusively by the Final Paid Amount of a single individual order.

· All charges included in the Final Paid Amount (merchandise, shipping, taxes) count toward the GWP threshold.

· All deductions (discounts, coupons, gift cards, store credits, refunds, price adjustments) reduce the Final Paid Amount and therefore reduce or eliminate GWP eligibility.

· Payment by gift card, store credit, thirdparty payment processor, or any other payment method counts toward the Final Paid Amount equally.

2.4 Tier Structure & Application

· Perorder only: GWP tiers are calculated on a perorder basis only. Multiple orders may not be combined, stacked, aggregated, or consolidated to reach a higher tier threshold.

· Highest tier only: You will receive only the highest tier for which your Final Paid Amount qualifies. Lower tiers are not included and may not be claimed separately.

· No stacking: GWP promotions may not be combined with any other promotion, discount, bulk pricing, employee discount, or special offer unless explicitly stated in writing by an authorized officer of Novum Inc. If multiple promotions apply, the single highestvalue tier applies.

· Automatic application: The highest eligible GWP tier will be automatically added to your cart when the threshold is met. No promo code is required.

2.5 Quantity Limits & AntiArbitration

· Household limit: Limit 1 GWP unit per tier, per household, per billing identity, and per shipping address, per promotional period.

· Multifactor verification: For the purposes of enforcing quantity limits, we reserve the right to combine, crossreference, and verify multiple orders based on any combination of: shipping address, recipient name, billing address, payment method, payment account, email address, IP address, phone number, and pickup location.

· No circumvention: Multiple orders associated with the same individual, household, entity, or payment instrument will be deemed one order for the purpose of the quantity limit. We reserve the right to cancel any orders we reasonably believe are placed to circumvent quantity limits, for commercial resale, for arbitrage, or for redistribution purposes.

· Personal use only: GWP items are for personal, noncommercial use only. Commercial resale, redistribution, bundling, auction, or reoffer for sale of GWP items is strictly prohibited and may result in cancellation of eligibility, cancellation of orders, or permanent restriction of future purchasing privileges.

2.6 Eligibility Verification

We reserve the right to review, validate, adjust, or deny GWP eligibility at any time prior to shipment of the GWP item, including after the main order has been placed, processed, or shipped. If eligibility is not confirmed or is revoked, the GWP item will not be shipped.

2.7 Fulfillment & Shipping

All GWP items are shipped separately from the main order in separate, individually labeled and individually declared packaging. GWP items follow a separate fulfillment timeline independent of the main order.

GWP items will be processed and dispatched only after both of the following conditions are fully satisfied:

1. successful final delivery of the full main order to the shipping address; and

2. expiration of the applicable statutory return window for the main order.

Orders with pending disputes, refunds, chargebacks, payment holds, fraud reviews, or unresolved issues will have GWP shipment and the associated timeline paused until full final resolution.

If the advertised GWP item for a tier is unavailable due to stock exhaustion, discontinuation, or supply chain issues, we reserve the right, at our sole discretion, to substitute a GWP item of the same category and of equal or greater MSRP value. If no suitable substitute is available within the same category, we may cancel the GWP portion of the order with no further liability.

GWP items are subject to the same shipping terms, delivery timeframes, and shipping charges as paid merchandise. For international orders, GWP items are shipped on a Delivered Duty Unpaid (DDU) basis. Customers are solely responsible for all import duties, taxes, customs fees, and clearance charges associated with GWP items.

3. CategorySpecific GWP Provisions

The following categoryspecific provisions apply to GWP items in each respective category, in addition to the general rules above.

3.1 Automotive & Transportation GWP

(Ultraluxury sedans, executive vehicles, pickup trucks, massmarket electric vehicles)

Automotive GWP items are covered exclusively by the original manufacturer’s standard warranty and roadside assistance where applicable. We do not provide any express or implied warranty.

Once a vehicle GWP item has been registered, titled, or driven, it is nonreturnable and the full MSRP will be deducted from any refund. Customers are solely responsible for import compliance and registration requirements. Manufacturing defects and warranty issues are the sole and primary responsibility of the manufacturer.

3.2 Luxury Goods & Accessories GWP

(Luxury watches, designer handbags, premium luggage, designer sunglasses)

Luxury GWP items are guaranteed authentic and sourced directly from authorized channels. MSRP values do not reflect secondary market values, collector premiums, or market fluctuations.

Opened, worn, altered, or authenticated luxury GWP items are nonreturnable. If eligibility is voided, the full MSRP will be deducted regardless of condition. Luxury GWP items require signature confirmation upon delivery.

3.3 Technology & Electronics GWP

(Professional computing devices, DIY hardware, smartphones, tablets, wearables, game consoles, esports peripherals, networking & storage, custombuilt PCs)

Electronics GWP items are covered exclusively by the original manufacturer’s standard warranty. Opened, activated, or registered items are nonreturnable.

If eligibility is voided, the full MSRP will be deducted regardless of activation status or condition. We assist with warranty service but do not provide direct repair, replacement, or compensation outside of the manufacturer’s official warranty terms.

3.4 Home Audio & Professional Imaging GWP

(Smart televisions, professional HiFi audio, photography equipment, action cameras)

Imaging and audio GWP items are covered by the manufacturer’s standard warranty. Damage in transit must be reported within 24 hours of delivery with photographic evidence of both outer and inner packaging.

Opened or used items are nonreturnable. If eligibility is voided, the full MSRP will be deducted regardless of condition.

3.5 Smart Home & Hardware Tools GWP

(Robot vacuums & mops, smart security systems, smart kitchen appliances, cordless power tool sets)

Smart home and power tool GWP items are covered by the manufacturer’s warranty for manufacturing defects. Installation, maintenance, and safe use are the sole responsibility of the customer.

Opened or used items are nonreturnable. If eligibility is voided, the full MSRP will be deducted regardless of condition.

3.6 Home Appliances & Furnishings GWP

(Major home appliances, small kitchen appliances, air treatment products, bedding & home decor)

Appliance and furniture GWP items are covered by the manufacturer’s warranty for manufacturing defects. Assembly and installation are the sole responsibility of the customer.

Assembled, installed, or used items are nonreturnable. If eligibility is voided, the full MSRP will be deducted regardless of condition.

3.7 Outdoor & Recreational Sports GWP

(Camping equipment, snow sports gear, water sports equipment, ball sports gear, outdoor apparel & footwear)

Outdoor and sports GWP items are intended for recreational use in accordance with manufacturer guidelines. Users assume all risk associated with use of the product.

Used or worn items are nonreturnable. If eligibility is voided, the full MSRP will be deducted regardless of condition.

3.8 Beauty, Personal Care & Apparel GWP

(Skincare & cosmetics, personal care devices, oral care products, apparel & footwear)

Beauty and personal care GWP items comply with applicable cosmetic regulations for the U.S. market. Opened items are nonreturnable for hygiene and safety reasons.

If eligibility is voided, the full MSRP will be deducted regardless of whether the item has been opened or used. Allergen and ingredient information is provided by the manufacturer.

3.9 Baby & Kids Products GWP

(Baby strollers & travel systems, car seats, feeding & nursing products, educational toys)

Baby and children’s GWP items comply with applicable U.S. child safety standards. Opened consumable baby products are nonreturnable for hygiene and safety reasons.

If eligibility is voided, the full MSRP will be deducted regardless of condition. Parental supervision is recommended for all children’s products.

3.10 Food, Beverages & Nutrition GWP

(Alcoholic beverages, sports nutrition products, everyday food & beverages)

Food and beverage GWP items are manufactured in compliance with U.S. FDA and EU EFSA standards. Product safety, quality, integrity, and allergen control are the sole and primary responsibility of the manufacturer.

Food and beverage GWP items are nonreturnable once opened or consumed. If eligibility is voided, the full MSRP will be deducted regardless of whether the item has been opened or consumed. We are not liable for spoilage or deterioration resulting from shipping delays or customs clearance.

3.11 Entertainment, Collectibles & Digital Subscriptions GWP

(Trading cards & board games, collectible figures & model kits, digital subscription services)

Toy and collectible GWP items are for personal use only. Collector value or market appreciation is not guaranteed. Minor cosmetic variations or packaging imperfections that do not affect product function are not grounds for return.

Opened collectible items are nonreturnable. Digital subscription GWP items are nonreturnable and nonrefundable once activated. If eligibility is voided, the full MSRP will be deducted.

4. Regional Legal Compliance

4.1 United States

All GWP promotions are conducted in compliance with federal and state trade regulation laws, including the Federal Trade Commission Act and state consumer protection statutes. The core return and deduction rules set forth herein are applied to the maximum extent permitted by law.

4.2 European Union & United Kingdom

GWP promotions comply with the Unfair Commercial Practices Directive and the UK Consumer Rights Act 2015.

If you exercise your statutory 14day cancellation right for distance sales, you must return all GWP items together with the main order. If GWP items are not returned in original, unopened condition, the full MSRP value will be deducted from your refund in accordance with applicable law. Your statutory consumer rights are not affected by these GWP Terms except as expressly permitted by law.

4.3 Canada

GWP promotions comply with the Competition Act and applicable consumer protection regulations.

4.4 Germany & Austria

GWP promotions comply with the Act against Unfair Competition (Gesetz gegen den unlauteren Wettbewerb – UWG) and the German Civil Code (BGB). All tier thresholds and GWP values are disclosed transparently. Where applicable by law, deductions for returned items that have been handled beyond what is necessary for inspection may be adjusted in accordance with statutory requirements.

4.5 France

GWP promotions comply with the French Consumer Code (Code de la consommation). Promotional gifts and conditions are presented in a clear and transparent manner.

4.6 Australia & New Zealand

Nothing in these GWP Terms excludes, restricts, or modifies any statutory consumer guarantees under the Australian Consumer Law or New Zealand Fair Trading Act where applicable by law.

4.7 California

Nothing in these GWP Terms limits any rights you may have under the California Consumer Privacy Act (CCPA) or other applicable California state laws. WARNING: GWP items may contain chemicals known to the State of California to cause cancer, birth defects, or other reproductive harm.

5. Limitation of Liability & Remedies

5.1 Exclusive Remedy for GWP Items

If a GWP item is lost, damaged, seized, or unavailable, our sole and exclusive liability, at our option, shall be either:

1. to replace the GWP item with an item of the same category and equal or greater MSRP value; or

2. to cancel the GWP portion of the order with no further liability.

In no event shall we be required to provide a cash refund, credit, or monetary compensation for any GWP item.

5.2 Manufacturer Responsibility

All GWP items are manufactured, warranted, and qualitycontrolled by their respective licensed manufacturers. Product defects, manufacturing faults, performance issues, safety matters, and product liability claims are the sole and primary responsibility of the manufacturer.

As an authorized reseller, we verify product authenticity and will assist with manufacturer communication and warranty claims. We do not provide independent warranties or assume liability for manufacturing defects beyond what is required by law.

5.3 No Consequential Damages

To the fullest extent permitted by applicable law, we are not liable for any indirect, incidental, special, consequential, or punitive damages arising from or in connection with GWP promotions, GWP items, delivery delays, or ineligibility, including but not limited to loss of use, loss of opportunity, loss of profit, or business interruption.

5.4 Liability Cap

Our total aggregate liability for any claim arising from or related to any GWP promotion or GWP item shall not exceed the full MSRP value of the specific GWP item affected. In no event shall our total liability exceed the total amount paid for the main order.

6. General Legal Provisions

6.1 Entire Agreement

These GWP Terms, together with our Terms of Service, Privacy Policy, Shipping Policy, International Shipping Info, Return & Refund Policy, and Delivery Timeframes, constitute the entire agreement regarding GWP promotions. They supersede all prior or contemporaneous oral or written communications, representations, or understandings, including customer service statements, chat communications, product descriptions, and promotional copy.

6.2 Limited Authority

No employee, agent, or customer service representative has the authority to alter, modify, waive, or amend any provision of these GWP Terms, or promise any specific GWP item, tier, or exception, except in a written document signed by an authorized officer of Novum Inc. Informal communications are for informational purposes only and do not constitute a binding modification or waiver.

6.3 Severability

If any provision of these GWP Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable while achieving the original intent.

6.4 Governing Law

These GWP Terms shall be governed by the laws of the State of Delaware, United States of America, without regard to conflict of law principles. This does not exclude or limit any mandatory consumer protection laws that apply to you based on your place of residence.

6.5 Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to natural disasters, pandemics, labor strikes, supply chain disruptions, carrier delays, customs actions, government regulations, war, or civil unrest.

6.6 Updates

We reserve the right to update or modify these GWP Terms at any time. Material changes will be posted on this page with an updated effective date. Continued use of our services after changes constitutes acceptance of the updated terms.
